These Terms of Service govern your use of the WalletSuite platform and services. Please read them carefully before using our products.
1. Acceptance of Terms
These Terms of Service form an agreement between WalletSuite and the business entity using our developer platform ("Customer"). By accessing or using WalletSuite's website, APIs, SDKs, MCP Server, or any related services, an authorised representative of Customer agrees to be bound by these Terms. WalletSuite is a B2B developer infrastructure provider; these Terms govern Customer's use of the platform to build and operate Customer's own products.
2. Description of Services
WalletSuite provides developer infrastructure for AI agent wallets and on-chain transaction tooling, delivered via REST and WebSocket APIs, a TypeScript SDK, and an MCP (Model Context Protocol) Server. Services include balance queries, transaction construction, token resolution, price lookups, and policy-gated transaction signing through 2-of-2 MPC (default) or self-hosted Open Wallet Standard (opt-out). WalletSuite is non-custodial by architecture and does not take possession of Customer or end-user funds.
3. Account Responsibilities
Customer is responsible for maintaining the confidentiality of API keys, agent tokens, and account credentials. Customer must notify WalletSuite immediately of any unauthorised use. In MPC signing mode, Customer is responsible for safeguarding Customer's key share; in OWS opt-out mode, Customer is responsible for the entire key vault and passphrase. Customer must provide accurate account information and keep it updated, and may not share accounts with third parties without WalletSuite's consent.
4. Acceptable Use
You agree not to use our services for unlawful purposes, to violate any applicable regulations, to interfere with our infrastructure or other users, to reverse engineer our proprietary technology, or to exceed documented rate limits without authorisation.
5. Intellectual Property
WalletSuite retains all rights to our platform, APIs, documentation, and brand assets. You retain ownership of the applications you build using our services. We grant you a limited, non-exclusive licence to use our APIs and SDKs in accordance with these terms.
6. Service Level and Availability
We aim to provide high availability for our production APIs. Scheduled maintenance windows will be communicated in advance. Enterprise customers may negotiate custom SLAs. We are not liable for downtime caused by factors outside our reasonable control.
7. Fees and Payment
Certain services may require a paid subscription. Fees are outlined on our pricing page and in your service agreement. We reserve the right to modify pricing with 30 days notice. Overdue payments may result in service suspension.
8. Limitation of Liability
To the maximum extent permitted by law, WalletSuite shall not be liable for indirect, incidental, special, or consequential damages. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.
9. Termination
Either party may terminate these terms with 30 days written notice. We may suspend or terminate your access immediately if you violate these terms. Upon termination, your right to use the services will cease, and we may delete your data after a reasonable retention period.
10. Changes to Terms
We may update these terms from time to time. Material changes will be communicated via email or through our platform. Continued use of our services after changes constitutes acceptance of the updated terms.
11. Governing Law
These Terms are governed by the laws of the United Arab Emirates. Disputes arising under these Terms will be resolved in the courts of the United Arab Emirates, except where mandatory law of Customer's jurisdiction provides otherwise.
12. Sanctions and Export Controls
Customer represents that Customer is not located in, organised under the laws of, or ordinarily resident in any jurisdiction subject to comprehensive economic sanctions, and is not on any restricted-party or sanctions list. Customer agrees not to use the services to facilitate transactions for any sanctioned person or jurisdiction, and to maintain Customer's own sanctions screening for end users where applicable.
